Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Nova Panel website, accounts, test environments, Nova Panel software platform, Nova Connect, related documentation, integrations, and support services collectively referred to as the “Service.”

In these Terms, “Nova Panel,” “we,” “us,” and “our” refer to the person or team operating the Service under the Nova Panel name.

“Customer,” “you,” and “your” refer to the individual, business, or organization accessing or using the Service.

By creating an account, selecting a plan, requesting access, purchasing additional usage, or otherwise using the Service, you agree to these Terms.

If you use the Service on behalf of a business or another organization, you confirm that you have authority to accept these Terms on its behalf.

1. Business Use and Eligibility

The Service is intended for business and professional use.

You must:
  • be at least 18 years old;
  • be legally capable of entering into a binding agreement;
  • provide accurate account information;
  • use the Service only where permitted by applicable law.

You may not access or use the Service where such access or use is prohibited by applicable law, sanctions, export controls, or another binding legal restriction.

2. Nova Panel and Nova Connect

Nova Panel

Nova Panel is software for launching, operating, and managing an online SMM panel.

Depending on the current product release and configuration, Nova Panel may include:
  • a public panel website;
  • a User Dashboard;
  • an Admin Dashboard;
  • users and account balances;
  • services and categories;
  • provider integrations;
  • order processing;
  • payments;
  • support workflows;
  • reports and Profit Analytics;
  • team access and permissions;
  • notifications;
  • API access;
  • customization and Visual Editor tools;
  • related operational functionality.

Nova Panel provides software and hosting infrastructure. Nova Panel does not itself sell followers, likes, views, or other underlying SMM services.

Customers select, connect, and pay their own providers and payment gateways.

Nova Connect

Nova Connect is an integration, routing, and recovery layer for Nova Panel or compatible existing third-party panels.

Depending on the configuration, Nova Connect may apply:
  • multi-provider routing;
  • provider priority or price rules;
  • Retry;
  • Failover;
  • Completion Recovery;
  • synchronization;
  • availability checks;
  • pricing controls;
  • Profit Shield;
  • related operational rules.

Nova Connect does not replace the Customer’s existing panel unless the Customer separately chooses to use Nova Panel.

The functionality available to a Customer depends on:
  • the selected product and plan;
  • the release stage;
  • the Customer’s configuration;
  • connected providers and payment systems;
  • technical compatibility;
  • additional terms accepted during checkout or onboarding.

3. Beta, Early Access, and Pre-Release Features

The Service or individual features may be provided as:
  • a test drive;
  • private beta;
  • limited beta;
  • Early Access;
  • preview;
  • experimental functionality;
  • another pre-release version.
Pre-release functionality may:
  • be incomplete;
  • contain errors;
  • change without notice;
  • have usage limitations;
  • be removed or replaced;
  • behave differently from a final production version.
During beta or Early Access:
  • access may be limited or invitation-only;
  • plans and prices may be promotional;
  • order volume, services, integrations, storage, or functionality may be restricted;
  • test data may be reset where reasonably necessary;
  • no service-level commitment applies unless separately agreed in writing;
  • access to a test drive does not guarantee production onboarding or permanent availability.

Customers should not use a test environment as the sole repository for important business data.

4. Accounts and Access

You must provide accurate account information and keep it current.

You are responsible for:
  • protecting passwords and authentication methods;
  • protecting API keys, payment credentials, and access tokens;
  • limiting access to authorized staff;
  • assigning appropriate permissions;
  • promptly reporting suspected unauthorized access;
  • activity performed through your account, except to the extent directly caused by Nova Panel’s breach of these Terms.
You may not:
  • share administrative access with unrelated businesses;
  • transfer an account without approval;
  • resell access to the Service unless separately authorized;
  • create duplicate accounts to avoid plan limits;
  • bypass billing, service, order, domain, or usage restrictions;
  • impersonate another person or business.

Nova Panel may request email verification, Google verification, domain verification, identity information, or other reasonable confirmation before activating particular functionality.

5. Custom Domain and User Dashboard Activation

A verified custom domain is required before a Nova Panel can be activated for live customer use.

Before a custom domain is connected and verified:
  • the Customer may access the Admin Dashboard;
  • the Customer may configure services, providers, payments, pages, and settings;
  • preview or test functionality may be available;
  • the public User Dashboard will not be activated for live use;
  • end users will not be able to create live Customer Orders.

Customer-facing order channels may remain unavailable until the custom domain has been successfully verified.

This may include:
  • orders through the User Dashboard;
  • orders through Guest Checkout;
  • live customer-facing API orders;
  • Mass Orders;
  • other supported public ordering interfaces.
Nova Panel may provide a temporary or technical domain for:
  • account setup;
  • administration;
  • preview;
  • testing;
  • domain configuration.

A temporary domain does not replace the requirement to connect a verified custom domain before accepting live Customer Orders.

The Customer is responsible for:
  • registering the domain;
  • paying domain-registration and renewal fees;
  • maintaining ownership or control of the domain;
  • configuring required DNS records;
  • keeping the domain operational.

Domain-registration fees are not included in Nova Panel plans.

If a connected domain expires, stops resolving to Nova Panel, or fails verification, Nova Panel may disable the public User Dashboard and creation of new Customer Orders until the issue is corrected.

Existing Customer Orders may continue to be processed.

6. Test Drives, Onboarding, and Migration

Nova Panel may provide:
  • a public User Demo;
  • a read-only Admin Demo;
  • sample data;
  • test panels;
  • assisted onboarding;
  • migration review.

Demo environments may contain artificial users, services, providers, orders, payments, or other sample data.

Demo access does not guarantee that every displayed function is available in every plan or release stage.

Before offering migration, Nova Panel may review:
  • the Customer’s existing platform;
  • database structure;
  • users;
  • balances;
  • services;
  • categories;
  • orders;
  • providers;
  • integrations;
  • payment systems;
  • other operational requirements.

Migration scope is confirmed only after technical review.

Some data may not be transferable, including:
  • passwords that cannot be securely migrated;
  • encrypted or inaccessible provider credentials;
  • payment-gateway secrets;
  • custom code;
  • unsupported historical records;
  • incompatible third-party integrations;
  • undocumented platform-specific settings.
Unless otherwise agreed:
  • the Customer’s existing panel remains under the Customer’s control;
  • the Customer must maintain an independent backup;
  • migrated data must be reviewed by the Customer;
  • provider and payment credentials may need to be entered again;
  • custom migration work may be priced separately;
  • uninterrupted operation during migration is not guaranteed.

Where technically possible, Nova Panel may be tested in parallel with an existing panel before a final domain or traffic switch.

7. Plans, Fees, and Billing

The current standard Nova Panel plans are described below.

The pricing and plan terms shown:
  • on the Pricing page;
  • during checkout;
  • in the Customer account;
  • in an accepted order form;
  • in a separate written agreement;

control if they differ from this section.

7.1 Free Plan

The Free Plan currently includes:
  • USD 0 per month;
  • up to 100 Customer Orders per monthly usage cycle;
  • up to 500 Services;
  • the core Nova Panel platform;
  • hosting and product updates;
  • standard supported provider integrations;
  • standard supported payment integrations;
  • a required custom domain;
  • required Powered by Nova Panel attribution.
Additional Customer Order capacity may be purchased in blocks of:
  • 100 additional Customer Orders for USD 3.
Additional capacity:
  • applies only to the current monthly usage cycle;
  • does not automatically carry over;
  • may be limited when Starter becomes more cost-effective;
  • may require a payment method.

A payment card is not required to create a Free panel unless the Customer purchases additional usage or another paid product.

7.2 Starter Plan

The Starter Plan currently includes:
  • USD 25 per month;
  • up to 1,000 Customer Orders per monthly billing cycle;
  • up to 5,000 Services;
  • additional Customer Orders at USD 3 per 1,000 orders;
  • no Nova Panel attribution requirement;
  • standard support.

When the calculated Starter price becomes higher than the Pro price for the same monthly usage, Nova Panel automatically switches the Customer account to Pro.

After the switch, the Pro pricing, limits, and billing terms apply. The plan change and applicable charges are displayed in the Customer account.

7.3 Pro Plan

The Pro Plan currently includes:
  • USD 100 per month;
  • up to 50,000 Customer Orders per monthly billing cycle;
  • additional Customer Orders at USD 0.50 per 1,000 orders;
  • no Nova Panel attribution requirement;
  • no fixed upper Customer Order limit, subject to technical capacity, fair use, and accepted commercial terms;
  • priority or expanded support where indicated in the accepted plan.
7.4 Nova Connect

Unless another price is displayed or agreed, standalone Nova Connect currently includes:
  • USD 25 per month;
  • up to 10 active Nova Connect services;
  • unlimited Customer Order volume processed through Nova Connect;
  • USD 2 per additional active service per month.

Nova Connect pricing is based on active services rather than Customer Order volume.

7.5 General Billing Terms

Unless otherwise stated:
  • paid subscriptions are billed monthly in advance;
  • overage or additional usage may be billed during or after the applicable cycle;
  • subscriptions renew automatically until canceled;
  • applicable taxes are excluded;
  • provider costs are excluded;
  • payment-gateway fees are excluded;
  • domain fees are excluded;
  • third-party charges are excluded;
  • custom development may be priced separately;
  • custom migration may be priced separately;
  • unsupported integrations may be priced separately;
  • fees are non-refundable except where required by law or expressly agreed in writing.

You authorize the applicable payment processor to charge the payment method you provide.

Nova Panel may change plans and prices for new Customers.

Existing Customers retain previous pricing only where such protection is expressly stated:
  • in their account;
  • at checkout;
  • in accepted promotional terms;
  • in a written agreement.

8. Usage Measurement

8.1 Customer Orders

For Nova Panel, a “Customer Order” is a root order created by or for an end user through a supported ordering channel.

Customer Orders may include orders created through:
  • the User Dashboard;
  • Public API;
  • Guest Checkout;
  • Mass Orders;
  • subscriptions;
  • Drip-feed;
  • another customer-facing ordering method.

One Customer Order is counted once, regardless of how many internal processing operations are required.

The following do not count as separate Customer Orders:
  • provider attempts;
  • Retry operations;
  • Failover operations;
  • Completion child orders;
  • GetStatus checks;
  • Refill actions;
  • Cancel actions;
  • routing jobs;
  • sender jobs;
  • synchronization jobs;
  • other internal technical processing.

Each valid line accepted through Mass Orders may count as a separate Customer Order.

Each separately generated root order created through a Subscription or Drip-feed configuration may count as a separate Customer Order.

Customer Orders count toward usage regardless of their final status, including where the order later becomes:
  • Completed;
  • Partial;
  • Canceled;
  • Failed;
  • another final status.
8.2 Services

For plan service limits, all Services in the panel count except deleted Services.

The following continue to count toward the service limit:
  • enabled Services;
  • disabled Services;
  • hidden Services;
  • unpublished Services;
  • draft Services.

Multiple provider sources connected behind one public Nova Panel Service do not count as separate Nova Panel Services.

Starter and Pro may not have a marketed plan-level service limit, but technical, security, database, performance, or fair-use restrictions may still apply.

8.3 Nova Connect Active Services

For Nova Connect, an active service is a service enabled for use with Nova Connect during the applicable billing cycle.

Disabling and re-enabling the same service does not automatically create a second service for billing purposes.

8.4 Usage Records

Usage is measured using Nova Panel system records.

If you believe usage or billing was measured incorrectly, you must contact support within 30 days of the relevant usage or billing event.

9. Free Plan Conditions

The Free Plan is intended to allow a Customer to launch and operate a small live Nova Panel.

The following conditions apply:
  • one Free panel may be permitted per verified Customer unless otherwise approved;
  • a verified custom domain is required for live use;
  • Powered by Nova Panel attribution is required;
  • the attribution must remain visible and functional;
  • the attribution may not be hidden through CSS, scripts, overlays, color manipulation, or another method;
  • the attribution may not be replaced with an empty or misleading link;
  • multiple accounts may not be created to avoid usage limits;
  • the Free Plan may not be used for abuse, fraud, automated mass registration, or prohibited activity;
  • custom development is not included;
  • custom migrations are not included;
  • unsupported integrations are not included;
  • priority support is not included unless separately offered.

The Powered by Nova Panel attribution may link to Nova Panel using a referral identifier associated with the Customer’s account.

Any referral commission or reward is governed by separate Referral Program terms. The existence of a referral link does not by itself create a right to compensation.

Nova Panel may automatically restore required attribution if it is removed or modified.

Nova Panel may restrict the public panel if required attribution is intentionally concealed or repeatedly removed.

10. Plan Limits and Additional Orders

When a plan’s included Customer Order allowance is reached:
  • Customer Orders already created will continue to be processed;
  • status synchronization may continue;
  • Retry may continue;
  • Failover may continue;
  • Completion processing may continue;
  • Refill and Cancel operations may continue;
  • access to the Admin Dashboard will remain available;
  • access to panel data and settings will remain available.

Nova Panel may accept and process the Customer Order that first causes the included limit to be exceeded.

Accepting that order does not create a right to continued unpaid overage.

After the limit has been reached, the creation of additional Customer Orders may be paused until the Customer:
  • purchases additional order capacity;
  • upgrades to another plan;
  • waits for the monthly allowance to reset.
Nova Panel may show:
  • usage warnings;
  • projected usage;
  • additional-order packages;
  • an upgrade option;
  • the expected monthly reset date.

Reaching an order limit does not normally suspend the entire account.

Nova Panel may restrict only the creation of new Customer Orders while allowing existing operations and account management to continue.

11. Free Panel Inactivity, Archival, and Deletion

A Free panel may be archived after 14 consecutive days without Qualifying Activity.

11.1 Qualifying Activity

Qualifying Activity may include:
  • a sign-in by the panel owner;
  • a sign-in by an authorized administrator;
  • a meaningful settings change;
  • a service or provider configuration change;
  • creation of a Customer Order;
  • a valid payment event;
  • a valid user-account event;
  • a support event;
  • a legitimate authenticated Public API request;
  • another genuine business or administrative action recorded by the Service.
The following do not normally count as Qualifying Activity:
  • automated provider synchronization;
  • GetStatus checks;
  • health checks;
  • monitoring requests;
  • scheduled system jobs;
  • search-engine crawlers;
  • bots;
  • artificial traffic;
  • background processing of previously created orders.
11.2 Archival

When a Free panel is archived:
  • the public panel may become unavailable;
  • the User Dashboard may become unavailable;
  • creation of new Customer Orders is disabled;
  • background jobs may be stopped or limited;
  • provider and payment integrations may be paused;
  • the Customer’s account and supported reactivation controls may remain available.

Nova Panel may delay archival where active Customer Orders, payments, disputes, or security investigations require continued processing.

11.3 Reactivation

An archived Free panel may be reactivated during the archive period, subject to:
  • continued compliance with these Terms;
  • domain verification;
  • required Powered by Nova Panel attribution;
  • technical availability;
  • completion of any required account-verification step.

Reactivation may require the Customer to reconnect or verify providers, payments, domains, or other integrations.

11.4 Deletion

If a Free panel is not reactivated within 30 days after archival, Customer Data associated with that panel may be deleted or anonymized from active production systems.

Deletion may include:
  • panel configuration;
  • users;
  • services;
  • orders;
  • support records;
  • connected integration data;
  • other panel-specific Customer Data.
Deletion of a Free panel does not necessarily delete:
  • the owner’s Nova Panel account;
  • billing records;
  • security records;
  • abuse-prevention records;
  • referral records;
  • legally required records;
  • support communications that must be retained.

Protected backup copies may remain until they are overwritten or deleted through the normal backup cycle described in the Privacy Policy.

Nova Panel is not required to restore individual Customer Data from backups.

Paid panels are not archived merely because they have no recent activity while the applicable paid subscription remains active.

11.5 Notifications

Where practicable, Nova Panel may send notices:
  • before archival;
  • at archival;
  • before scheduled deletion;
  • at deletion.
Notices may be sent through:
  • email;
  • the Admin Dashboard;
  • Telegram;
  • another available communication method.

Failure to receive a notice does not prevent archival or deletion where the policy was otherwise properly applied.

12. Promotional, Founder, and Legacy Pricing

Nova Panel may offer:
  • Early Access pricing;
  • founder pricing;
  • promotional pricing;
  • partner pricing;
  • grandfathered pricing;
  • custom commercial terms.

If a Customer is accepted into a protected promotional or Founder plan, the price remains protected only under the conditions presented when the offer is accepted.

Such conditions may require:
  • continuous subscription;
  • timely payment;
  • continued account activity;
  • an active domain;
  • compliance with these Terms;
  • account good standing.
Promotional pricing does not normally include:
  • taxes;
  • overage;
  • third-party fees;
  • additional services;
  • add-ons;
  • custom development;
  • migration work;
  • materially different products.

If a protected subscription is canceled, future access may be subject to the plans and prices available at that time.

13. Cancellation

You may cancel a paid subscription through available account controls or by contacting support.

Unless otherwise stated:
  • cancellation takes effect at the end of the current paid billing cycle;
  • amounts already paid are not automatically refunded;
  • usage charges incurred before cancellation remain payable;
  • additional order packages already purchased are not refunded;
  • unused additional-order capacity does not carry over after the applicable cycle.
Cancellation of a paid plan may result in:
  • downgrade to an available Free Plan;
  • application of Free Plan limits;
  • activation of required Powered by Nova Panel attribution;
  • loss of paid-only functionality;
  • restriction of new Customer Orders where the Free allowance is unavailable.

Nova Panel will display the applicable downgrade or cancellation consequences where technically available.

14. Providers, Payment Gateways, and Other Third Parties

The Service may connect to third-party:
  • SMM providers;
  • payment gateways;
  • hosting services;
  • domain registrars;
  • messaging tools;
  • analytics services;
  • authentication providers;
  • infrastructure services;
  • other external systems.

Third-party services are independent from Nova Panel.

Their:
  • availability;
  • quality;
  • pricing;
  • security;
  • policies;
  • approval processes;
  • performance;
  • API behavior;
  • business decisions;

are outside Nova Panel’s control.

Nova Panel does not guarantee that:
  • a particular provider will be supported;
  • a particular payment gateway will be supported;
  • a third party will approve the Customer;
  • a provider will complete every order;
  • a provider’s API will remain available;
  • an external API will remain unchanged;
  • a payment will be accepted;
  • a connected service will meet the Customer’s requirements.
You are responsible for reviewing and complying with third-party:
  • terms;
  • fees;
  • policies;
  • legal requirements;
  • data-processing practices.

15. Nova Connect Routing and Recovery

Nova Connect and Nova Panel routing features act according to the:
  • rules;
  • priorities;
  • limits;
  • service mappings;
  • recovery settings;
  • provider configurations;
  • margin settings;

configured for the Customer account.

Retry, Failover, Completion Recovery, routing, and provider selection do not guarantee successful delivery.

Results may depend on:
  • provider availability;
  • provider response;
  • provider balance;
  • service compatibility;
  • order data;
  • price changes;
  • external-platform restrictions;
  • third-party failures;
  • other circumstances outside Nova Panel’s control.
You are responsible for reviewing:
  • provider mappings;
  • provider costs;
  • routing priorities;
  • service limits;
  • retry settings;
  • completion rules;
  • Profit Shield settings.

You authorize Nova Panel and Nova Connect to submit requests to connected providers according to the configuration saved in your account.

16. Profit Analytics and Reports

Profit Analytics and related reports are operational tools based on information recorded in or made available to Nova Panel.

This information may include:
  • customer charges;
  • provider costs;
  • converted costs;
  • payment fees;
  • refunds;
  • adjustments;
  • order outcomes;
  • other operational data.
Reports may be incomplete or inaccurate where source data is:
  • missing;
  • delayed;
  • inconsistent;
  • incorrect;
  • unavailable from a provider or gateway.
Nova Panel does not provide:
  • accounting advice;
  • tax advice;
  • audit services;
  • investment advice;
  • legal advice.

Displayed revenue, cost, margin, or profit figures are not a substitute for formal accounting records or financial statements.

You are responsible for reviewing and reconciling reports before relying on them for business decisions.

17. Customer Responsibilities

You are solely responsible for:
  • your business;
  • your panel content;
  • your services;
  • your service descriptions;
  • your prices;
  • your providers;
  • your payment gateways;
  • your customers;
  • your users;
  • refunds;
  • chargebacks;
  • customer support;
  • tax obligations;
  • consumer-law obligations;
  • legal compliance;
  • third-party platform compliance.
You are also responsible for:
  • selecting and monitoring providers;
  • maintaining provider balances;
  • maintaining payment accounts;
  • reviewing provider quality;
  • providing required notices to end users;
  • obtaining required consents;
  • ensuring lawful processing of Customer Data;
  • responding to end-user requests.

Nova Panel supplies software infrastructure and does not itself sell, endorse, or guarantee the third-party SMM services offered through the Customer’s panel.

18. Acceptable Use

You may not use the Service to:
  • violate applicable law;
  • violate third-party rights;
  • commit fraud;
  • engage in deceptive practices;
  • impersonate another person or organization;
  • operate phishing pages;
  • steal credentials;
  • process stolen credentials;
  • distribute malware;
  • attempt unauthorized access;
  • send unlawful spam;
  • abuse payment systems;
  • bypass security controls;
  • bypass plan or usage limits;
  • hide required attribution;
  • overload the Service;
  • perform vulnerability testing without written permission;
  • reverse engineer or copy the Service except where required by law;
  • conceal unlawful activity;
  • evade sanctions or legal restrictions;
  • provide illegal content or services;
  • cause material harm to Nova Panel or other parties.

Nova Panel may investigate suspected violations.

Access may be restricted or suspended where reasonably necessary to protect:
  • the Service;
  • Customers;
  • end users;
  • providers;
  • payment systems;
  • infrastructure;
  • legal compliance.

19. Customer Data

“Customer Data” means information, records, configurations, credentials, content, and other data submitted to or processed through the Service by or for the Customer.

Customer Data may include information relating to:
  • staff;
  • customers;
  • end users;
  • services;
  • providers;
  • payments;
  • orders;
  • support;
  • panel configuration.

As between the Customer and Nova Panel, the Customer retains its rights in Customer Data.

The Customer grants Nova Panel a limited, non-exclusive right to:
  • host;
  • copy;
  • transmit;
  • process;
  • display;
  • store;
  • otherwise use Customer Data;
only as reasonably necessary to:
  • provide the Service;
  • secure the Service;
  • maintain the Service;
  • support the Customer;
  • follow documented Customer instructions;
  • prevent fraud and abuse;
  • investigate security incidents;
  • comply with law;
  • enforce these Terms.

The Customer confirms that it has the rights and lawful grounds required to provide Customer Data and instruct Nova Panel to process it.

Additional data-processing terms may apply before production personal data is imported or processed.

20. Provider Credentials and Secrets

You may connect:
  • provider API keys;
  • gateway credentials;
  • access tokens;
  • webhook secrets;
  • authentication credentials;
  • other sensitive configuration data.

You authorize Nova Panel to store and use these credentials to operate the integrations you configure.

You must provide only credentials that:
  • belong to you;
  • you are authorized to use;
  • may lawfully be provided to Nova Panel.
You are responsible for:
  • rotating credentials;
  • revoking credentials;
  • removing access when it should end;
  • limiting access inside your organization;
  • reporting suspected compromise.

Test environments should not be used for live secrets unless expressly approved for production use.

21. Privacy

The Nova Panel Privacy Policy explains how Nova Panel processes personal data for its own purposes.

Where Nova Panel processes personal data on behalf of a Customer, the Customer’s documented instructions and any applicable data-processing terms govern that processing.

The Customer is responsible for providing its own end users with an appropriate privacy notice.

22. Confidentiality

Each party may receive non-public information from the other that:
  • is identified as confidential;
  • should reasonably be understood to be confidential.
The receiving party will:
  • use confidential information only for the purposes of providing or receiving the Service;
  • protect confidential information using reasonable care;
  • not disclose confidential information except as permitted by these Terms.
Confidentiality obligations do not apply to information that:
  • was lawfully known without restriction;
  • was independently developed;
  • became publicly available without breach;
  • was lawfully received from another source.

Confidential information may be disclosed where required by law, provided notice is given where legally permitted.

23. Intellectual Property

Nova Panel and its licensors retain all rights in:
  • the Service;
  • software;
  • source code;
  • design;
  • documentation;
  • trademarks;
  • branding;
  • technology;
  • related intellectual property.

These Terms do not transfer ownership to the Customer.

Subject to these Terms and applicable payment obligations, the Customer receives a limited, non-exclusive, non-transferable, revocable right to use the Service for authorized business operations.

You may provide feedback.

You grant Nova Panel a worldwide, perpetual, irrevocable, royalty-free right to use feedback without identifying you or disclosing your confidential information.

24. Availability, Maintenance, and Changes

Nova Panel may:
  • perform maintenance;
  • deploy updates;
  • change functionality;
  • fix errors;
  • modify integrations;
  • update security controls;
  • discontinue pre-release features.

Reasonable efforts will be made to communicate material changes affecting active paid production Customers.

Emergency security, legal, provider, or infrastructure changes may be made without advance notice.

Unless a separate service-level agreement applies, Nova Panel does not guarantee:
  • uninterrupted availability;
  • error-free operation;
  • permanent availability of every feature;
  • compatibility with every third party;
  • absolute security.

25. Suspension and Restricted Access

Nova Panel may restrict or suspend access where reasonably necessary because of:
  • overdue payment;
  • plan-limit circumvention;
  • duplicate Free accounts;
  • missing required domain verification;
  • removal of required Powered by Nova Panel attribution;
  • a security risk;
  • suspected compromise;
  • unlawful use;
  • prohibited use;
  • a material breach;
  • a third-party requirement;
  • a legal requirement;
  • activity threatening the Service or other Customers;
  • Free Plan inactivity.

Where practicable, Nova Panel will provide notice and an opportunity to resolve the issue.

Immediate suspension may be necessary where:
  • unlawful activity is suspected;
  • fraud is suspected;
  • a serious security risk exists;
  • infrastructure or other Customers are threatened;
  • a legal authority requires immediate action.

Reaching a usage limit does not normally result in complete suspension.

Nova Panel may instead restrict only:
  • creation of new Customer Orders;
  • publication of additional Services;
  • activation of customer-facing functionality;
  • another function directly connected to the exceeded limit.

26. Termination and Data Access

Either party may terminate access for a material breach that remains uncured after reasonable notice.

Nova Panel may terminate access immediately where:
  • the breach cannot be cured;
  • unlawful activity is involved;
  • fraud is involved;
  • a serious security risk exists;
  • continued access is prohibited by law.
After termination:
  • the right to use the Service ends;
  • unpaid fees remain due;
  • the Customer should export available data;
  • Customer Data may be deleted or anonymized according to the Privacy Policy;
  • backup and legal-retention rules continue to apply;
  • provisions intended to survive termination remain effective.

Where technically available, Nova Panel may provide reasonable access to export supported Customer Data for up to 30 days after termination.

Export access may be unavailable where termination resulted from:
  • unlawful activity;
  • fraud;
  • a security risk;
  • a legal requirement.

Archived Free panels are governed by the separate Free Panel archival and deletion periods in these Terms.

Once Free panel data has been deleted from active systems, restoration may no longer be possible.

27. Disclaimers

To the maximum extent permitted by law, the Service is provided:
  • “as is”;
  • “as available.”
Nova Panel disclaims implied warranties of:
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • uninterrupted availability;
  • error-free operation;
  • warranties arising from usage or course of dealing.
Nova Panel does not warrant that:
  • the Service will meet every requirement;
  • every order will be completed;
  • every provider will remain available;
  • every third-party response will be accurate;
  • every defect will be corrected;
  • every integration will remain compatible;
  • a Customer’s business will generate revenue or profit.

Nothing in these Terms excludes rights or warranties that cannot lawfully be excluded.

28. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for:
  • indirect damages;
  • incidental damages;
  • special damages;
  • exemplary damages;
  • punitive damages;
  • consequential damages;
  • loss of profit;
  • loss of revenue;
  • loss of goodwill;
  • loss of business opportunity;
  • loss of data.
To the maximum extent permitted by law, Nova Panel’s total aggregate liability arising out of or relating to the Service will not exceed the greater of:
  • fees paid for the Service during the three months before the event giving rise to liability;
  • USD 100.

This limitation does not apply to liability that cannot lawfully be limited, fraud, or willful misconduct.

29. Indemnity

To the extent permitted by law, the Customer will defend and indemnify Nova Panel and its personnel against third-party claims, losses, liabilities, and reasonable costs arising from:
  • Customer Data;
  • services offered through the Customer’s panel;
  • content published through the Customer’s panel;
  • provider relationships;
  • payment-gateway relationships;
  • end-user relationships;
  • the Customer’s violation of law;
  • the Customer’s violation of third-party rights;
  • the Customer’s violation of these Terms.

This section does not require indemnification to the extent a claim results from Nova Panel’s own breach, fraud, or willful misconduct.

30. Sanctions and Export Compliance

You may not access or use the Service in violation of applicable:
  • trade sanctions;
  • export-control laws;
  • import restrictions;
  • other binding trade rules.
You confirm that:
  • you are not prohibited from receiving the Service;
  • you will not provide access to a prohibited person;
  • you will not provide access in a prohibited territory;
  • you will comply with applicable sanctions and export requirements.

31. Changes to These Terms

Nova Panel may update these Terms to reflect changes to:
  • the Service;
  • plans;
  • pricing;
  • law;
  • security requirements;
  • operational processes;
  • business practices.

The updated Terms will state a new effective date.

For material changes affecting an active paid subscription, Nova Panel will provide reasonable notice through:
  • the Service;
  • email;
  • another appropriate communication method.

Continued use after the effective date constitutes acceptance where permitted by law.

Changes to Free Plan availability or terms may apply to new Free panels immediately after publication.

Existing Customers retain previous terms only where explicitly confirmed.

32. Disputes

Before filing a formal claim, each party agrees to attempt in good faith to resolve the dispute.

The complaining party should contact the other party and allow at least 30 days for discussion.

These Terms are governed by applicable law.

Any dispute that cannot be resolved informally will be submitted to the competent courts determined under applicable law, unless mandatory law requires another procedure or forum.

33. General Terms

These Terms, together with:
  • the Privacy Policy;
  • applicable data-processing terms;
  • accepted plan terms;
  • accepted promotional terms;
  • accepted order forms;
  • documents expressly incorporated by reference;

form the entire agreement relating to the Service.

If there is a conflict:
  • specifically accepted commercial terms take priority for the relevant commercial issue;
  • applicable data-processing terms take priority for the relevant data-processing issue;
  • these general Terms apply in all other cases.

You may not assign these Terms without prior written consent, except as part of a genuine merger, reorganization, or sale of substantially all relevant assets.

Nova Panel may assign these Terms to a successor operating the Service.

If any provision is unenforceable, the remaining provisions remain effective.

Failure to enforce a provision is not a waiver.
